Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Manifold self-serve advertising platform ("Platform"), operated by Manicz Media, LLC ("Company," "we," "us," or "our"). By creating an account or using the Platform, you ("Advertiser," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Platform Overview

Manifold is a self-serve digital advertising platform that enables advertisers to create, manage, and launch programmatic advertising campaigns across display, native, video, connected TV (CTV), and streaming audio channels. The Platform provides campaign configuration tools, audience targeting, creative asset management, and automated billing.

2. Account Registration

To use the Platform, you must create an account by providing accurate and complete information, including your name, email address, organization name, and other requested details. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Advertiser Obligations

You represent and warrant that:

  • You have the legal authority to enter into these Terms and to bind your organization.
  • All information provided is accurate, current, and complete.
  • All advertising content, creative assets, and landing pages comply with applicable laws, regulations, and industry standards, including but not limited to the Federal Trade Commission (FTC) guidelines, CAN-SPAM Act, and any applicable state or local advertising regulations.
  • You have all necessary rights, licenses, and permissions for any content, trademarks, images, or other intellectual property used in your campaigns.
  • Your campaigns do not promote illegal products or services, contain misleading claims, or infringe upon the rights of any third party.

4. Campaign Submission and Review

All campaigns submitted through the Platform are subject to review by the Manicz Media team before going live. We reserve the right to reject, suspend, or modify any campaign that, in our sole discretion, violates these Terms, our advertising policies, or applicable law. Campaign review does not constitute an endorsement of your content or a guarantee of compliance with any law or regulation.

5. Billing and Payment

5.1 Payment Method

You must provide a valid payment method (credit or debit card) through our payment processor, Stripe, before submitting any campaign. By providing your payment information, you authorize Manicz Media to charge your card-on-file for all campaign costs, fees, and other amounts owed under these Terms.

5.2 Billing

Campaign budgets are charged as specified during campaign setup. All charges are non-refundable except as expressly provided in these Terms or as required by applicable law. You are responsible for all taxes, duties, or governmental charges associated with your use of the Platform.

5.3 Payment Processing

All payment processing is handled by Stripe, Inc. Your use of Stripe's services is subject to Stripe's terms and privacy policy. Manicz Media does not store your full credit card number on our servers.

6. Intellectual Property

6.1 Platform IP

The Platform, including its design, features, code, documentation, and all related intellectual property, is owned by Manicz Media and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership interest in the Platform.

6.2 Advertiser Content

You retain ownership of all content, creative assets, and materials you upload to the Platform. By uploading content, you grant Manicz Media a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of delivering your advertising campaigns and operating the Platform.

7. Data Collection and Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the collection and use of your data as described in the Privacy Policy.

8. Personally Identifiable Information (PII)

If you upload first-party audience data (email addresses, phone numbers, or mobile advertising IDs) for targeting purposes, you represent and warrant that:

  • You have obtained all necessary consents from the individuals whose data you upload.
  • The data was collected in compliance with applicable privacy laws, including CCPA, GDPR (if applicable), and CAN-SPAM.
  • You will not upload data belonging to minors under the age of 13 (or the applicable minimum age in your jurisdiction).

Manicz Media will hash and process uploaded PII in accordance with industry standards and will not sell, share, or use such data for any purpose other than delivering your campaigns.

9. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with these Terms, including campaign data, performance metrics, pricing, and business strategies. This obligation survives termination of these Terms for a period of two (2) years.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CAMPAIGN WILL ACHIEVE SPECIFIC RESULTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANICZ MEDIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Manicz Media, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your advertising content or campaigns; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

13. Termination

Either party may terminate these Terms at any time by providing written notice to the other party. We may suspend or terminate your access to the Platform immediately if we believe you have violated these Terms or for any other reason in our sole discretion. Upon termination, any outstanding balances become immediately due and payable.

14. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform or by sending you an email. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Harris County, Texas.

16. Entire Agreement

These Terms, together with the Privacy Policy and any insertion orders or campaign agreements, constitute the entire agreement between you and Manicz Media regarding your use of the Platform and supersede all prior or contemporaneous agreements, representations, and understandings.
